The Nepal Securities Board (SEBON) has eased its advance-notice requirement for promoter shareholders selling shares in listed companies. Under the amended directive, promoters must provide five trading days' notice only when they plan to sell 15 percent or more of their shares.
The change, announced on Friday, raises the threshold from the previous 5 percent. The earlier directive, issued on Bhadra 9, required promoters to give 15 days' notice for sales of more than 5 percent of their shares.
What the amended rule requires
- Sales of 15 percent or more: Promoters must provide five trading days' advance notice.
- Previous threshold: The earlier directive required 15 days' notice for sales above 5 percent.
The amendment changes both the share-sale threshold that triggers advance notice and the notice period required under the earlier directive.
